Terms and Conditions for Use of ReportWriter by MetaScience Ltd.

Welcome to ReportWriter, a web application owned and operated by MetaScience Ltd. ("Company," "we," "our," or "us"). By accessing or using ReportWriter ("App"), you agree to be bound by the following terms and conditions ("Terms"). If you do not agree to these Terms, you may not use the App.

1. Acceptance of Terms

By using the App, you confirm that you have read, understood, and agree to be bound by these Terms, including any future modifications. The Company reserves the right to amend, update, or change these Terms at any time without prior notice. Your continued use of the App after any changes constitute your acceptance of the new Terms.

2. Use of the App

You agree to use the App only for lawful purposes and in a manner consistent with all applicable laws and regulations. You must not use the App in any way that could harm, disable, overburden, or impair the App or interfere with any other party's use and enjoyment of the App.

3. Account Registration

To access certain features of the App, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account.

4. Intellectual Property Rights

All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, software, and audio, are the exclusive property of MetaScience Ltd. or its licensors and are protected by copyright, trademark, and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the App for its intended purposes, subject to these Terms.

5. Non-Reverse Engineering Clause

You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the App or any of its components. You also agree not to attempt to discover the source code, algorithms, or any trade secrets embodied in the App. Any such unauthorised activity is strictly prohibited and will result in the termination of your access to the App, in addition to any other legal remedies that may be available.

6. Data and Privacy

The Company collects and processes personal data in accordance with its Privacy Policy. By using the App, you consent to such processing and warrant that all data provided by you is accurate and up-to-date.

7. Limitation of Liability

To the maximum extent permitted by law, MetaScience Ltd. shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from (a) your use or inability to use the App; (b) any unauthorised access to or alteration of your data; (c) any other matter relating to the App.

8. Indemnification

You agree to indemnify, defend, and hold harmless MetaScience Ltd., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable legal fees and costs, arising out of or in any way connected with your use of the App, your violation of these Terms, or your infringement of any third-party rights.

9. Termination

MetaScience Ltd. reserves the right to suspend or terminate your access to the App at any time, without notice and for any reason, including but not limited to a breach of these Terms. Upon termination, all licences granted to you under these Terms will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in England and Wales.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent under law.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MetaScience Ltd. regarding your use of the App and supersede any prior agreements or understandings, whether written or oral.
